Terms of Service

Extralt SAS, a company organized under the laws of France (hereafter, "Extralt", "we", "our" and/or "us") provides an online software-as-a-service (SaaS) platform (the "Service") at https://extralt.com that enables businesses to extract structured data from publicly accessible websites at scale, enrich that data using AI-powered processing, and derive market intelligence from product information.

By accessing or using the Service, you ("you" or "User") agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you do not have permission to access the Service.

We may revise these Terms from time to time. If a revision is material, we will notify you (for example via email to the address associated with your account). By continuing to use Extralt after revisions become effective, you agree to be bound by the revised Terms.

Privacy

Our Privacy Policy, available at https://extralt.com/legal/privacy, describes how we collect, use, and share your personal data. By using the Service, you agree to the collection and use of information as described in our Privacy Policy.

License grant and restrictions

Extralt grants you a non-exclusive, non-transferable, worldwide right to use the Service solely for your own internal business purposes, subject to these Terms. All rights not expressly granted to you are reserved by Extralt.

You shall not:

  • License, sublicense, sell, resell, transfer, assign, or distribute the Service to any third party
  • Modify or make derivative works based upon the Service
  • Reverse engineer, decompile, or attempt to discover the source code of the Service
  • Access the Service to build a competitive product or service
  • Use the Service to send spam or store malicious content
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to the Service or its related systems

Acceptable use and web scraping

The Service is designed to extract publicly accessible data from websites. You are solely responsible for:

  • Target site compliance: Ensuring that your use of the Service to extract data from any website complies with that website's terms of service and applicable laws
  • Data legality: Ensuring that the data you extract and how you use it complies with all applicable laws, including data protection and privacy regulations
  • No authentication bypass: The Service only extracts publicly accessible data. You may not use the Service to access password-protected, login-required, or otherwise restricted content

Extralt provides the technical infrastructure for data extraction. We do not monitor or control which websites you choose to extract data from. You bear full responsibility for your use of extracted data.

Account and customer data

You are responsible for all activity occurring under your account and for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorized use of your account.

Extralt does not own any data that you extract using the Service ("Customer Data"). You retain all rights to your Customer Data. You are solely responsible for the accuracy, legality, and appropriateness of all Customer Data.

When you use enrichment features, Extralt processes your extracted data using AI to translate, classify, and match products. You can only access enriched product data for products you have extracted. Your extraction data, including the specific URLs you extract and your pricing and availability data, remains private to your organization.

We may delete or remove Customer Data without notice if you breach these Terms, including for non-payment.

Intellectual property

Extralt owns all rights, titles, and interests in the Service, including all related intellectual property rights. The "Extralt" name and logo are trademarks of Extralt SAS. No right or license is granted to use them without our prior written permission.

Any feedback, suggestions, or ideas you provide about the Service may be used by Extralt without any obligation to you.

Use of company name and logo

By using the Service, you grant Extralt a non-exclusive, royalty-free license to use your company name and logo for the purpose of identifying you as a customer of Extralt. This may include display on our website, marketing materials, and promotional content.

This license does not constitute endorsement or affiliation. You may revoke this license at any time by contacting us at support@extralt.com.

Charges and payment

The Service is offered through monthly subscription plans. Each plan includes a set number of credits per billing period. Credits are consumed based on the service tier used, with different tiers offering varying levels of data enrichment and processing.

The Start plan includes a 7-day free trial with 5,000 credits. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically begin and you will be charged.

You must provide valid payment information to subscribe to a paid plan. All fees are exclusive of applicable taxes, which you are responsible for paying.

Billing and renewal

Subscriptions automatically renew at the end of each billing period. Your payment method will be charged automatically on your renewal date unless you cancel before then.

Extralt reserves the right to modify pricing with at least 30 days notice. Price changes will take effect at the start of your next billing period.

If you believe your bill is incorrect, you must contact us within 60 days of the invoice date to be eligible for an adjustment.

Non-payment and suspension

If your account becomes delinquent, we reserve the right to suspend or terminate your access to the Service. You remain responsible for all fees during any suspension period.

We may charge interest of 1% per month (or the maximum permitted by law, whichever is less) on overdue balances, plus reasonable collection costs.

Plan changes

You may upgrade or downgrade your subscription plan at any time. Plan changes are prorated:

  • Upgrades: You will be charged immediately for the prorated difference for the remainder of your billing period.
  • Downgrades: You will receive a prorated credit toward your next invoice. Downgrades are only available if your current credit usage does not exceed the credits included in the lower plan.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds for unused time or credits remaining when you cancel.

We may terminate or suspend your account immediately for material breach of these Terms, including unauthorized use of the Service, violation of acceptable use policies, or non-payment.

Upon termination, you may request a copy of your Customer Data within 30 days. After this period, we have no obligation to retain your data and may delete it permanently.

Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

EXTRALT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY DATA EXTRACTED USING THE SERVICE.

Websites may change their structure, block access, or modify their content at any time. Extralt is not responsible for changes to third-party websites that affect the Service's ability to extract data.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXTRALT'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO EXTRALT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL EXTRALT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER EXTRALT WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify and hold harmless Extralt and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your extraction of data from third-party websites, including any claims that such extraction violates the rights of any third party
  • Your use of extracted data

Service availability

Extralt strives to maintain high availability of the Service but does not guarantee any specific uptime percentage. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

AI processing

Certain features of the Service use artificial intelligence and machine learning to process your data. This includes translation, taxonomy classification, embedding generation, and product matching. AI processing is performed by third-party providers on our behalf. You acknowledge that AI-generated results may contain errors and should be verified for critical use cases.

Third-party services

The Service may integrate with or rely on third-party services for functionality such as authentication, payment processing, hosting, and AI processing. These services are not under Extralt's control, and we are not responsible for their availability, content, or practices.

Force majeure

Extralt shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, internet or infrastructure failures, or third-party service outages.

Export compliance

You agree to comply with all applicable export control laws and trade sanctions. You represent that you are not located in, or a resident of, any country subject to comprehensive sanctions, and that you are not on any restricted party list maintained by the United States, European Union, or other applicable jurisdiction.

Modification to terms

Extralt reserves the right to modify these Terms at any time. We will notify you of material changes via email or by posting a notice on the Service. Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

Governing law and disputes

These Terms shall be governed by and construed in accordance with the laws of France, without regard to conflict of law principles.

In the event of any dispute arising from or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue resolution through the courts located in Paris, France, which shall have exclusive jurisdiction.

General provisions

Entire agreement: These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and Extralt regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

No waiver: Extralt's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign these Terms without Extralt's prior written consent. Extralt may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

No agency: Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Extralt.
